The typical utility company has convinced only 3-5%
of its customer base to convert from paper to electronic bills. The reason is
obvious: a multi-step online billing process, pull versus push technology and
no ability for the customer to print out, file or save the bill. Transactis'
BillMail product offers a user-friendly alternative to online billing and helps
billers better convert their customers to e-billing, with e-mail as the medium,
not the Internet. Since the company started in late 2001, Transactis has proven
that consumers are 20-200% more likely to use the Transactis technology than
the hotlink that is also provided in the e-mail. In A/B split campaigns, with
and without Transactis, the company has increased revenue for clients like USA
Today (by 50%), FTD.com (100%), John Kerry For President (255%), the National
Republican Senatorial Committee (75%), Cox Communications (200%), John McCain
(27%) and many others. In the John Kerry For President campaign 3 times as many
e-mail recipients contributed using the Transactis technology than did so on
the Kerry website.
With the launch of BillMail in early 2004, now utilities, credit card
companies, telcos, insurance companies and even multi-family apartment
buildings can use BillMail. The value proposition for billers is an elimination
of paper bills and the costs associated with them, new revenue streams and
cross-promotional opportunities through Transactis' Electronic BillStuffer(TM)
and a decrease in the float associated with delayed customer payment. For
billing customers, bills are now delivered to them by billers, multi-step
billing sites are avoided, bills can be printed out and archived and, as a
result, customers feel comfortable enough to switch from paper bills to
BillMail.

Mark Walsh
Executive Chairman of the Board
As Executive Chairman of Transactis, Mr. Walsh has a day-to-day role with the company working with the executive management team on issues of strategy, business development and fundraising. Prior to Transactis, Mr. Walsh was the CEO and Chairman of VerticalNet, Inc., (NASDAQ: VERT) overseeing the company’s IPO. Previously, Mr. Walsh was a senior VP and corporate officer at AOL, where he founded and ran AOL Enterprise, the company's business-to-business division. Prior to AOL, Mr. Walsh was the president of GEnie, the online service owned by General Electric. He also was the president of Information Kinetics, Inc., a venture capital-backed interactive information company focusing on the recruitment and classified advertising market. Mr. Walsh was the VP and GM of the interactive services division of CUC International, a leader in online commerce. Before joining CUC, he worked in the cable television business, spending four years at HBO in New York. Mr. Walsh is the past chairman of the Interactive Services Association, a 300-member company trade association focusing on the consumer interactive service marketplace. He served on the board of the Information Industry Association (IIA), and currently serves on the board of the Software and Information Industry Association (SIIA). Mr. Walsh is a past winner of the IIA Industry Leader Award. He serves on the President's Advisory Group of the U.S. Chamber of Commerce, and is also a member of the Standard for Internet Commerce. Mr. Walsh received his MBA from Harvard Business School and his BA from Union College in Schenectady NY.

Thomas L. Kohn
CEO
A co-founder of Transactis, Mr. Kohn became CEO of Transactis in April 2002. In late 2003, he focused the company’s unique solution on the creation of an e-billing product that would attract the mass market to e-billing: email billing. Mr. Kohn oversees the company's strategy and staff and, along with Executive Chairman Mark Walsh, is responsible for the company's fundraising efforts. Before Transactis, Mr. Kohn was the CEO and first employee of the Maryland-based online auction company, Bid4Assets, where he helped raise $9 million of institutional funding and put the company on track to break even. Mr. Kohn was a vice president at Gannett Co., where he created a $20 million revenue stream by launching USAToday.com's e-commerce business. He was an early member of the offline browsing company, Freeloader, which was sold in 1997 for $38 million to Individual, Inc. He was an original member of the AOL Greenhouse, the company's first in-house venture capital arm, helping to write the division's business plan and work on investments in and partnerships with start-ups such as The Motley Fool and iVillage. Mr. Kohn spent several years with Ogilvy & Mather Advertising/New York, where he produced campaigns for American Express, AT&T and Kraft General Foods, among others. Jeffrey Greenberg
Co-Founder
Mr. Greenberg has founded several companies focusing on direct marketing and
customer service infrastructure solutions. Most recently, Mr. Greenberg founded
eStara, a well-positioned, venture-backed company that is the leader in the
voice IP (VoIP) space for e-commerce. The product gives Internet users the
ability to talk to a live customer service representative from the convenience
of their computer screen. Mr. Greenberg was co-founder of Electronic Direct
Marketing and he co-launched the Internet Catalogue/Opt-in E-mail Marketing
Company's call center. Mr. Greenberg is a licensed investment banker with nine
years of experience in the financial markets. He graduated from The University
of Maryland Business School. |

Bill McIntosh
Vice President of Business Development & Marketing
Bringing his years of consumer online expertise and an extensive background in new product development, consumer research and packaged goods, Mr. McIntosh leads Transactis’ business development and marketing groups. Prior to Transactis, he oversaw the launch of the AOL Bill Pay Service and its companion product, AOL Certified Mail. Also at AOL, he worked across several core business groups, including AOL Personal Finance, AIM Instant Messaging, Netscape and AOL's local service, Digital City. For Digital City, Mr. McIntosh was the Director of Marketing, developing the brand and leading marketing efforts across the Digital City network. At AOL’s division of Netscape, he led the sales, account service and reporting analysis teams for ICQ and the AIM instant messaging service. Prior to AOL, he led the development and launch of WashingtonPost.com. Mr. McIntosh began his career Warner Lambert, where he was a Brand Manager on such household brands as Dentyne and Rolaids and led new product development for the company’s confectionary business. A native of Canada, Mr. McIntosh is a graduate of Queens University in Kingston, Canada and Harvard Business School. |

Len Smith
Chief Technology Officer
Mr. Smith has served in senior management roles in several startups and Fortune
500 companies. His consulting experience includes project management, product
strategy and business process improvement projects for services companies and
early-stage ventures. Mr. Smith spent nine years with three startups, three
years as Chief Technology Officer for Inacom Corp., and fourteen years at
Automatic Data Processing (ADP). He has held positions at these companies
including Senior Vice President, General Manager, and VP-level responsibility
for Product Management, Sales, Marketing, and Customer Service. Mr. Smith is
certified as a Project Management Professional (PMP) by the Project Management
Institute. Mr. Smith has an AB from Dartmouth College, and an MBA from The Tuck
School at Dartmouth. |

Dorian Patchin
Vice President of Operations
Mr. Patchin leads the project/account management team at Transactis. He has over 10 years of experience in Internet product management, product marketing, online publishing and high-tech investing. Immediately prior to Transactis, Mr. Patchin worked with Andojo, a $20 million technology venture fund in Napa, CA and Winetasting.com, where he oversaw the management of their direct-to-consumer email campaign management, e-commerce strategy and web design. In San Francisco, in August 1998, Mr. Patchin joined Xoom.com, prior to their merger with NBC and Snap.com and subsequent IPO. He became the vice president and general manager of the NBC's Internet/XOOM division, with an emphasis on creating opportunities for e-commerce and advertising through membership generation via distribution of free viral web products and services. Before Xoom, Mr. Patchin worked with Internet start-ups such as Spark Online, Alexa Internet (bought by Amazon.com in early 1999) and Freeloader of Washington, DC, the first push technology software/service (bought by Individual Inc. in 1997 for $38 million). Mr. Patchin spent six years with The Washington Post Company, both as a research assistant and as part of the launch team for Post's first online endeavor, Digital Ink. He holds a BA degree from Ohio Wesleyan University.

Bill Oberdorfer
Senior Financial Advisor
Mr. Oberdorfer has over 20 years of business and financial management experience
in start-up, privately held and Fortune 500 companies, where he developed
expertise in business planning and forecasting, business case evaluation,
financial analysis, performance management and expense control and reduction.
Mr. Oberdorfer is the principal of Rock Creek Consulting, LLC, formed in 2001
to work with emerging technology companies to develop coherent, fundable
business plans and financial projections and to provide financial management
oversight. Mr. Oberdorfer's firm has clients in several technology industry
segments including wireless, application software, enterprise software,
E-Commerce and systems integration. Previously, Mr. Oberdorfer held various
senior financial positions at both Nextel Communications and Oncor
Communications with particular emphasis on business planning, forecasting, deal
support and business case evaluation. Mr. Oberdorfer holds an MBA in Finance
from The George Washington University and a BA in Government from St. Lawrence
University.

Todd Klein
Advisory Committee
Mr. Klein is the Managing Partner of Legend Venture Management, a venture
capital firm he founded in 2004. For the prior 10 years, he was a venture
capitalist with Kinetic Ventures, where he as a partner in five venture capital
funds focused on communications, information technology and energy. While
at Kinetic, he led investments in Placeware (acquired by Microsoft), Ramp
Networks (IPO, acquired by Nokia) and Grande Communications. Previously,
he held corporate finance positions with Salomon Brothers and Chemical Bank.
He has been a frequent spokesperson regarding venture capital, including
the Venture Capital Journal, the Boston Globe, and the Associated Press.
He has also been a featured guest on CNNfn. Mr. Klein is a member
of Young Presidents’ Organization. He holds a BBA from the University of

Wendell L. McConnell, Jr.
Advisory Committee
Mr. McConnell is the CEO and President of Financial Management Services (FMS).
He has over 35 years of business and financial management experience,
particularly in accounts receivable and the real estate business. From
1970-1975, Mr. McConnell was at Hughes Computer Systems where he was a
Principal and systems analyst/manager, creating accounts receivable systems for
apartment building tenants. In 1975, Hughes was sold to ADP for $70 million and
Mr. McConnell stayed with ADP until 1980. From 1980-1990, Mr. McConnell was at
Dreyfuss Brothers, Inc., the largest property management company in the U.S.
There, he designed, programmed and installed mini-computer systems to process
apartment tenant receivables and vendor accounts payables at over 300 sites
nationally. From 1990 to the present, Mr. McConnell has been the CEO and
President of FMS, where he has overseen a portfolio of approximately 50,000 bad
debts with an estimated value of $60 million, directed the design of a computer
system to track and report the status of these accounts and directed a staff of
50 that has managed $300 million of cash assets, Among other responsibilities,
Mr. McConnell has also formulated investment strategies for real estate
properties having excess cash assets.

S. Tien Wong

Mr. S. Tien Wong is Chief Executive Officer of Opus8, Inc., a private investment
firm in McLean, Virginia. The firm currently has interests in New World
Publishing (publisher of the Budapest Business Journal, Warsaw Business
Journal, and Prague Business Journal); Lincoln Healthcare Events (event
management company for CEOs of long-term care and home care conferences);
Allpoint Network (national ATM network), and Better World Telecommunications.
In 1991, Mr. Wong co-founded and served as CEO of CyberRep, Inc. until its
acquisition by Affiliated Computer Services (NYSE: ACS) in January 2003. At the
time of its acquisition, CyberRep was the third largest privately held Customer
Relationship Management (CRM) company in North America, operating six Customer
Interaction Centers (CIC) nationwide, with over 2,100 employees, and a revenue
run-rate of $75 million. Services include outsourced telephone, e-mail and
web-based customer contact, technical support and CRM solutions. CyberRep was
ranked in Inc. magazine's 1997, 1998, 1999 and 2000's "Inc. 500"
as the 51st, 53rd, 72nd and 408th fastest growing private company in the
nation, respectively. Mr. Wong was the recipient of the 2001 Ernst & Young Entrepreneur
of the Year award for the Greater Washington region. Prior to
co-founding CyberRep, Mr. Wong worked for ten years in commercial real estate
finance and investments. Mr. Wong also volunteers as a business advisor in the
Mentor Program at the Georgetown University School of Business in Washington,
DC. He is a graduate of Dartmouth College.

James F. Kenefick

Mr. Kenefick is the founder and CEO of BetterWorld Telecom. He has more than 15
years experience in telecommunications and information technology and has
served as founder, principal and advisor to a number of corporations, including
Net-tel, which ran and founded in 1996 and which had over $30 million in
revenues by 1999. Before Net-tel, in 1990, Mr. Kenefick founded, ran and
successfully sold The Keystone Corporation, a company that provided
telecommunications services to the hospitality industry. He was also an early
investor in Irvine, CA-based Epoch Networks, an Internet service provider. Mr.
Kenefick is an active member of Young Presidents' Organization (YPO), Young
Entrepreneurs' Organization (YEO), and the Kauffman Foundation's Center for
Entrepreneurial Leadership, and Business for Social Responsibility (BSR). Mr.
Kenefick has twice been named as a finalist for Ernst & Young's
Entrepreneur of the Year. He is a graduate of M.I.T.'s three-year Birthing of
Giants Program and is a graduate of Babson College.

Joshua C. Simons

Mr. Simons is currently acting COO of Buzztone, Inc, (New York). Buzztone has
been re-created by Mr. Simons as a new breed of music industry marketing
company to leverage the speed and global scale within the rapidly growing
entertainment industry. In 2000, Mr. Simons founded and was CEO of YDC, Ltd,
(Maryland), an Internet business solutions and marketing-based firm, providing
early stage companies with ability to present realistic business models to
angel and first round institutional investors for funding. From 1997-2000 Mr.
Simons was the EVP of Global Marketing & Sales for WorldSpace Corporation,
(Washington, DC), responsible for establishing a brand architecture to a new
digital radio and streaming media company offering L-Band satellite services
and 80+ audio channels to emerging global markets. Mr. Simons was the
Principal/Founder of The Marketing & Promotion Consultancy (Easton, CT)
from 1994-1997, creating their strategic marketing and product development
group for clients such as Sony Music (UK/USA) Cablevision (USA), US Tobacco
(USA) and ESPN2 (USA). From 1991-1994 Mr. Simons was President/CEO of the
Entertainment & Sports Marketing Division of DMB&B/Clarion Marketing
& Communications, (Greenwich, CT) overseeing the cross over of traditional

Brian Kraff

Mr. Kraff is the co-founder of 13 Colonies Software of Austin, TX. Previously,
Mr. Kraff was the founder and CEO of eStudentLoan, the comparison marketplace
for the online purchase of student loans. Under his direction, eStudentLoan
established a leadership position on the web, implementing partnerships with
the nation's top financial institutions such as Citibank, American Express and
Bank of America, and winning several "Best of the Web" awards. He
guided the company to profitability and steered its products through three
mergers and acquisitions. From 1991 to 1995, Mr. Kraff was co-founder and CEO
of Advanced Network Systems (ANS), an enterprise systems integration company
with over 100+ installations. Mr. Kraff was also a partner at Hearthstone
Vanguard Group in Washington DC, where he placed and managed venture capital
investments in numerous start-up ventures. In addition, he served as the
Director of Network Services for the American Bankers Association where he
managed the Telecom, Training, and Technical Services teams. Mr. Kraff has a
Bachelors of Arts degree from Cornell University and an MBA in Finance from
Columbia Business School, where he focused on Managing New Ventures and

Chris Gibbons

Mr. Gibbons currently leads eStara's software research and development programs,
as their EVP and chief technology officer. An experienced technologist, he held
various executive positions at Microsoft before joining eStara. Mr. Gibbons
headed Microsoft's global Office 2000 marketing program for enterprises,
channel partners and independent software vendors. He served as Microsoft's
Chief Information Officer, directing a worldwide staff of 1,300. Mr. Gibbons
holds a B.S. in mathematics from Lawrence University and Northwestern
University, along with an M.S. in accounting and information systems from
Northwestern.
